This paper aims to develop a reflection on the changing governance balances observed in a profit-making benefit company that also seeks to improve the socio-economic conditions of migrants and protect their essential rights. This will be considered with particular regard to the impact of the common benefit purpose on the company's purpose and corporate object, and on the managerial liability profiles of its directors.
Il presente contributo mira a sviluppare una riflessione in merito al mutamento degli equilibri di governance registrabili in una società lucrativa di tipo benefit orientata anche al miglioramento delle condizioni socio-economiche dei migranti nonché alla tutela dei loro diritti essenziali, avendo riguardo, in particolare, all’impatto della finalità di beneficio comune sullo scopo e sull’oggetto sociale e sui profili di responsabilità gestoria degli amministratori.
