The essay dwells on the duty to establish organizational, administrative, and accounting structures appropriate to the nature and size of the company, also in function of the timely detection of the crisis that the new paragraph 2 of art. 2086 of the Civil Code, introduced by the Code of business crisis and insolvency, has placed the responsibility of collective entrepreneurs. From the analysis conducted from a multidisciplinary point of view, it emerges that the obligation enshrined therein is not only functional to the early detection of the crisis but constitutes a broader general rule which tends to make those holding organizational power responsible for adopting (adequate) management decisions to preserve business continuity to protect not (only) the shareholders, but all the stakeholders, including workers. In this perspective, the labor law implications of the new code are investigated with specific reference to the effects it produces on employment relationships and on the exercise of powers of the entrepreneur, with what follows both in terms of remedies available to workers and of judicial reviewability of entrepreneurial choices
Il saggio si sofferma sul dovere di istituire assetti organizzativi, amministrativi e contabili adeguati alla natura e alle dimensioni dell’impresa, anche in funzione della rilevazione tempestiva della crisi che il nuovo comma 2 dell’art. 2086 cod. civ., introdotto dal Codice della crisi d’impresa e dell’insolvenza, ha posto incapo agli imprenditori collettivi. Dall’analisi condotta in un’ottica multidisciplinare emerge come l’obbligo ivi sancito non sia solo funzionale alla precoce rilevazione della crisi, ma costituisce regola generale di più ampia portata che tende a responsabilizzare chi detiene il potere organizzativo ad adottare (adeguate) scelte gestorie per preservare la continuità aziendale nell’ottica di tutela non più (solo) dei soci, ma di tutti i portatori di interesse (stakeholders), tra cui anche i lavoratori. In questa prospettiva vengono indagate le implicazioni giuslavoristiche della novella codicistica con specifico riferimento ai riflessi che essa produce sui rapporti di lavoro e sull’esercizio dei poteri datoriali, con ciò che ne consegue sia in termini di rimedi esperibili dai lavoratori sia di sindacabilità giudiziale delle scelte imprenditoriali.
