The aim of the study is to explore the role that the public interest exercise in the so-called “public corporations” and the relationship between politics and administration in the related organizational model. The study traces the evolution profiles of the discipline on the topic, passing the prospect that comes from the specificity of the rules and from the irregularity of the model, disregarding the corresponding dogmatic category, and offers, through an alternative interpretation of the modifications to the corporate law gradually introduced in the legal system, the analysis of the liability regime for managers of public and semi-public companies and of the connected profiles of jurisdiction and the examination of the conditions, the ground and the limits of EU compatibility of the specific powers (golden share) due to governmental organizations in “privatized” companies operating in sectors regarded as vital or strategic, the cues for a possible union between companies and purposes of general interest.
